Contract terms governing use of the StackHub platform and its marketplace

These Terms of Use ("Terms") govern the use of the StackHub platform (stackhub.cc, the "Platform"), provided by YOUSENDR TECNOLOGIA E MARKETING LTDA, with address at Alameda Prudente de Moraes, 388, Mercês, Curitiba/PR, ZIP 80430-234, Brazil. By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Acceptance and Eligibility

You declare that you are at least 18 years old and have full legal capacity to enter into this contract. If acting on behalf of a legal entity, you declare that you have authority to bind it.

2. Definitions

Platform: the StackHub service available at stackhub.cc.

Workspace: collaborative environment with members, roles, and projects.

Project: grouping of stacks and configuration for a product or repository.

Stack: composition of artifacts that can be exported to .claude/.

Artifact: configurable unit (agent, skill, rule, hook, command, MCP server, output style, claude.md, claude.local.md, pipeline, workflow).

Marketplace: the Platform's public catalog where Sellers offer items for sale.

Seller: a user who offers items in the Marketplace via a Stripe Connect account.

Buyer: a user who acquires items in the Marketplace.

Fork: a frozen copy of an item purchased one-time, linked to the Buyer's account.

Entitlement: a live access right to an item while the corresponding subscription remains active.

Commission: percentage and/or fixed amount retained by the Platform on each transaction.

3. Account, Registration, and Security

You are responsible for keeping your credentials confidential and for all activity carried out in your account. Notify us immediately upon any unauthorized use. We may suspend accounts showing signs of compromise or violation of these Terms.

4. Platform License

We grant you a limited, worldwide, non-exclusive, non-transferable, revocable license to access and use the Platform under these Terms. This license does not grant rights over the Platform's software, brand, or visual elements beyond what is strictly necessary for normal use.

5. User Content

You retain all intellectual property rights over the content you create on the Platform ("User Content"). You grant us a non-exclusive, worldwide, royalty-free, revocable license to host, store, display, execute, and make User Content available to recipients you authorize (workspace members, buyers, or the public when published in the Marketplace), solely to operate the Platform.

You are fully responsible for User Content and represent that you hold all rights necessary to make it available.

6. Marketplace — Sellers

To sell on the Marketplace, you must complete onboarding via Stripe Connect Express, including identity verification (KYC) and provision of tax and banking data. Currently supported countries: Brazil, United States, European Union, and United Kingdom. Catalog, charge, and reporting currency is the U.S. dollar (USD).

Commission: 10% (ten percent) of the transaction value plus USD 1.00 fixed on one-time sales; subscriptions are subject only to the 10% percentage. The Platform may set a different commission per Seller upon dedicated registration.

Taxes: automatic calculation via Stripe Tax on international sales (EU/UK VAT and US sales tax). The Seller is responsible for tax remittance on net revenue in their jurisdiction.

Payouts: performed by Stripe according to the payout schedule configured on your Connect account.

Chargebacks: the Seller absorbs chargeback amounts on their Connect account (with debit_negative_balances enabled), including any administrative fees passed through by the acquirer.

Disputes: while a dispute is open, the Buyer's access to the item is suspended (not definitively revoked) until resolution.

Suspension: we may suspend or ban accounts that violate these Terms, the Platform Policy, or Stripe's rules.

7. Marketplace — Buyers

One-time purchase: grants you a Fork — a frozen copy of the item at the time of purchase — linked to your account, without a right to automatic updates from the Seller.

Subscription: grants you a live Entitlement, with access to the latest version published by the Seller while the subscription remains active. Upon cancellation, access remains until the end of the period already paid.

Suspension on chargeback: when initiating a payment chargeback, the corresponding access is suspended. If the dispute is resolved in favor of the Seller or the Platform, access may be definitively revoked.

8. Payments

All payments are processed by Stripe, Inc. The charge currency is the U.S. dollar (USD). International credit/debit card is currently the accepted payment method. When required by the card brand or applicable law (e.g., PSD2 in the European Union), we perform 3DS/SCA authentication. The corresponding tax receipt is issued by Stripe or by YOUSENDR depending on the operation.

9. Refunds

One-time purchases: you are entitled to a full self-service refund within 7 (seven) calendar days of purchase, by request on the Platform. After this period, refunds are reviewed on a case-by-case basis.

Subscriptions: cancellations may be performed at any time and take effect at the end of the period already paid, without proportional refund.

Right of withdrawal (Brazilian Consumer Protection Code, Art. 49): for Brazilian consumers, the 7-day window is also guaranteed for services contracted online.

Non-refundable taxes: if the Buyer's jurisdiction does not allow refund of the collected tax, the refund will be net of the corresponding tax, in accordance with Stripe Tax rules.

10. Prohibited Content and Conduct

The following are prohibited on the Platform, among others:

publishing or executing malware, exploits, data exfiltration code or backdoors;

using third-party intellectual property without authorization;

fraud, sock-puppeting, metric manipulation, commission evasion;

unlawful, offensive, discriminatory or human-rights-violating content;

reverse engineering, mass scraping, or attempts to compromise the infrastructure.

11. Platform Intellectual Property

The StackHub brand, software, interface, texts, and other Platform elements belong to YOUSENDR and are protected by law. Their use without written authorization is prohibited.

12. Warranties and Disclaimers

The Platform is provided "as is" and "as available". We do not warrant uninterrupted availability, error-free operation, or fitness for a particular purpose, except for the imperative legal warranties applicable in your jurisdiction.

13. Limitation of Liability

To the maximum extent permitted by applicable law, our total aggregate liability for any claim related to the Platform is limited to the greater of (i) USD 100.00 (one hundred U.S. dollars) and (ii) the amount paid by you to the Platform in the 12 (twelve) months preceding the triggering event. This limitation does not apply to damages arising from willful misconduct or gross negligence, nor to imperative consumer rights.

14. Indemnification

You agree to indemnify YOUSENDR against losses, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or from your User Content.

15. Suspension and Termination

We may suspend or terminate your account at any time, with or without prior notice, in case of breach of these Terms, suspected fraud or legal determination. You may terminate your account at any time. Termination does not entitle you to a refund except as provided in Section 9.

16. Governing Law and Venue

These Terms are governed by Brazilian law. The courts of the District of Curitiba, State of Paraná, Brazil, are elected to settle disputes, without prejudice to imperative consumer rights provided by the law of your habitual residence, in particular for users residing in the European Union, who retain the rights provided by the GDPR and local consumer law.

17. Changes to These Terms

We may amend these Terms. Material changes will be communicated at least 15 days in advance by email and/or in-app banner. Continued use after the new version takes effect constitutes acceptance.

18. General Provisions

If any clause is deemed invalid, the remaining clauses remain in force. Tolerance toward non-compliance does not constitute novation. You may not assign this contract without our consent; we may assign it to legal successors or to companies of the same economic group.
